End-User License Agreement (EULA)

This End-User License Agreement (hereinafter referred to as "EULA") is a legal agreement between you (either an individual or a single entity) and "Retable, Inc" (hereinafter referred to as "Licensor") for the use of the "Tabula" desktop application (hereinafter referred to as the "Software").

By downloading, installing, or using the Software, you agree to be bound by the terms and conditions of this EULA. If you do not agree to the terms and conditions of this agreement, do not download, install, or use the Software.

1. License Grant

1.1. License: Licensor grants you a non-exclusive, non-transferable, revocable license to use the Software for your personal or internal business purposes in accordance with the terms and conditions of this EULA.

1.2. Restrictions: You shall not, without the express written consent of Licensor:

(a) modify, adapt, translate, or create derivative works based on the Software;

(b) reverse engineer, decompile, or disassemble the Software;

(c) distribute, sublicense, rent, lease, or lend the Software;

(d) remove, alter, or obscure any proprietary notices on the Software;

(e) use the Software in any manner that violates any applicable laws or regulations.

2. Intellectual Property Rights

2.1. Ownership: The Software is licensed, not sold, to you. Licensor retains all right, title, and interest, including all intellectual property rights, in and to the Software.

2.2. Feedback: You may provide suggestions, feedback, or other information to Licensor regarding the Software ("Feedback"). Licensor may use and incorporate the Feedback without any obligation to you.

3. Warranty and Disclaimer

3.1. Warranty: The Software is provided "as is" without warranty of any kind, either expressed or implied. Licensor does not warrant that the Software will be error-free or uninterrupted, or that it will meet your specific requirements.

4. Limitation of Liability

4.1. Limitation: In no event shall Licensor be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, damages for loss of profits, data, or other intangible losses, arising out of the use or inability to use the Software.

5. Termination

5.1. Termination: This EULA is effective until terminated. Licensor may terminate this EULA at any time if you fail to comply with any term of this EULA. Upon termination, you shall cease all use of the Software and destroy all copies of the Software in your possession or control.

6. Miscellaneous

6.1. Governing Law: This EULA shall be governed by and construed in accordance with the laws of United States. Any disputes arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of United States.

6.2. Entire Agreement: This EULA constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior or contemporaneous understandings and agreements.
